# Commercial Terms & Fee Overview

T-Blocks structures its commercial engagement across three fee categories. Specific fee values are disclosed during the structuring engagement following issuer qualification and are not published in public documentation.

**Setup and structuring fees.** A one-time fee covering SubFund establishment, legal structuring coordination, documentation review, ISIN application, and infrastructure deployment through to issuance readiness.

**Annual administration and management fees.** Recurring fees covering SubFund administration, ongoing compliance, investor reporting, annual accounts preparation and audit coordination, regulatory filings, and lifecycle management. May be structured as a fixed annual fee or as a percentage of assets under management depending on SubFund size and complexity.

**Distribution and success fees.** Where T-Blocks coordinates distribution through its placement partner network, a success fee is applicable on capital raised through T-Blocks-coordinated channels. Distribution partners retain their own fee arrangements in accordance with their own regulatory mandates.
