# Governance Architecture

T-Blocks Trio Fund operates through a network of independent, regulated service providers. No single entity — including the Management Company — controls all functions in the securitisation chain. This separation of duties is a deliberate governance design: it ensures independent oversight at every critical function and eliminates single points of failure.

The governance architecture is structured as follows:

**Management Company** — T-Blocks International SARL (B293452). Creates SubFunds, manages assets, calculates NAV, maintains registers, coordinates service providers.

**Auditor** — Forvis Mazars (B159962). Independently audits Fund and SubFund financial statements. Reports to Unitholders.

**Banking & Custody** — Swissquote Bank (Luxembourg branch). Holds SubFund cash and assets. Executes settlement. Provides banking infrastructure for the ISIN / Banking Rail.

**Legal & Compliance, Corporate Legal** — Woud Law Firm (B274753).&#x20;

* Structures issuances, drafts Specific Management Regulations and transaction documentation, advises on regulatory compliance.
* Corporate governance, Management Company structuring, RCS filings, domiciliation and ongoing corporate advisory.

**Fund Administration & Corporate Services** — Baker Tilly Luxembourg. Responsible for accounting (LUXGAAP), statutory financial statements, tax compliance, corporate secretarial services, AML/KYC file monitoring, and regulatory filings of the securitisation vehicle and its compartments.

**Tax Advisor** — Deloitte Luxembourg.&#x20;

* Supporting the tax structuring of the Luxembourg securitisation vehicle and preparing formal tax memoranda covering the operational and fiscal treatment of the Fund Subfund-based issuances.
* Optional: Preferred tax advisor for future transactions, providing tax structuring, audit support, and ongoing compliance services in Luxembourg and, where required, in coordination with Deloitte offices in relevant jurisdictions.

**Digital Infrastructure** — Ripple / XRP Ledger. Provides the blockchain settlement layer for the Digital Primary Market rail. Token issuance, smart contract architecture, and digital custody integration.

Each service provider operates under its own regulatory supervision, independent of T-Blocks International SARL. This means that even if the Management Company were replaced (Article 13 of the Management Regulations), the Fund's audit, custody, legal, and digital infrastructure would continue to function under their independent mandates.
