Woud Law (Société d'Avocat, List V — Barreau de Luxembourg, 2 Place de Paris, L-2314 Luxembourg) serves as T-Blocks' primary legal and structuring counsel across both the corporate and capital markets dimensions of the platform.

Woud Law's mandate spans the full lifecycle of the structure and each issuance, including:

* Legal structuring memoranda covering regulatory, structuring, and transactional considerations for each new SubFund and instrument type
* Constitutional documents for the Management Company: articles of incorporation, shareholder register, director appointment documentation, beneficial ownership declarations, and first corporate resolutions
* Fund documentation: Management Regulations and Specific Management Regulations for each SubFund
* Note and instrument documentation: private placement memoranda, issue terms and conditions, debt and equity-linked note terms, subscription agreements, and non-disclosure agreements
* Banking and paying agent infrastructure: paying agent documentation, ISIN registration coordination, Bloomberg ticker applications, and negotiation of banking service terms
* Compartment creation: establishment of investment terms per SubFund and structuring of each compartment's legal architecture
* Financial collateral arrangements: share pledge agreements, receivables pledge agreements, account pledge agreements, and appointment of bondholder representatives for security-taking purposes
* Review of cross-border investment documents: review of documents executed by Luxembourg entities in connection with assets held in other jurisdictions, including apostille and notarisation where required
* DAC 6 compliance: identification and notification of reportable cross-border arrangements in accordance with the Luxembourg law of 25 March 2020 implementing Council Directive (EU) 2018/822
* Ongoing corporate advisory: regulatory compliance guidance, MiFID II distribution considerations, Market Abuse Regulation, and reverse solicitation frameworks
